H.G. Infra Engineering Limited (HGIEL) has announced an investment of Rs. 33.80 crore in its wholly owned subsidiary, H.G. Gujarat Bess Private Limited, through the subscription of a rights issue.
The investment has been made through a cash consideration for the subscription of 130,000 equity shares at an issue price of Rs. 2,600 per share, including a face value of Rs. 10 per share. The acquisition was completed on August 6, 2026.
According to the company, the investment has been made to support the expansion of its business. H.G. Gujarat Bess Private Limited operates in the battery energy storage system (BESS) sector.
Incorporated on February 5, 2025, H.G. Gujarat Bess Private Limited has its registered office in Rajasthan, India, and its principal business is developing and operating battery storage systems for energy.
As of March 31, 2026, the subsidiary had an authorised share capital of Rs. 28,00,000, a subscribed and paid-up share capital of Rs. 15,00,000, and reported a nil turnover.
The company stated that H.G. Gujarat Bess Private Limited, as a wholly owned subsidiary, is a related party and that the transaction falls within the ambit of related party transactions. It further clarified that, except for the company’s shareholding in the subsidiary, the promoter, promoter group and group companies have no interest in the entity.
The company also confirmed that no governmental or regulatory approvals were required for the acquisition.
