Trina Solar has finalized the sale of its 5 GW solar module manufacturing facility in the United States to T1 Energy, marking the completion of a cross-border transaction first approved by Trina’s board in November 2024. The facility, previously operated as Trina Solar US Manufacturing Module 1, has been renamed T1 G1 Dallas Solar Module.
As part of the deal, Trina Solar received a combination of cash, senior preferred notes, and equity in T1 Energy. By the end of 2024, Trina had secured USD 100 million in cash, USD 150 million in senior preferred notes, and 15.4 million shares of T1 Energy. The remaining 30.4 million shares were transferred in 2025 following regulatory clearance, bringing Trina’s total stake to 45.9 million shares, representing 17.4% of T1 Energy’s outstanding stock. Trina noted that its final stake was slightly lower than initially expected due to subsequent share issuances by T1 Energy.
The Dallas facility, which began commercial operations under Trina’s U.S. localization strategy in response to Inflation Reduction Act incentives, is connected to the national grid and operates under a 25-year power purchase agreement with Maharashtra State Electricity Distribution Co. Ltd. For T1 Energy, the acquisition provides a fully operational U.S. module manufacturing asset, forming a foundation for its domestic solar cell production strategy.
T1 Energy has already broken ground on its G2 Austin solar cell plant in Texas, with a USD 400–425 million investment. The first phase, expected to be operational by end of 2026, will produce 2.1 GW of high-efficiency TOPCon solar cells, which will feed directly into the Dallas module facility, creating a localized “cell + module” manufacturing ecosystem. T1 Energy also plans a second-phase expansion to 3.2 GW to meet growing market demand, sourcing high-purity polysilicon and wafers from Corning’s Michigan campus.
This strategic acquisition and follow-on development solidify T1 Energy’s U.S. renewable manufacturing footprint while allowing Trina Solar to retain a significant minority stake in the rapidly growing company.
